Legal & Business Development Coordinator

Certain Affinity is seeking a smart, versatile individual adept at working with complex legal concepts and documentation, and comfortable working in a dynamic, fast-paced environment. This position will report to the head of Business Development and Business Relations, and primarily support the Business Development function. They will have a key role in ensuring contract compliance and maintaining corporate records to protect the company’s intellectual property.

The successful candidate will be a team-oriented individual with excellent communication skills and a proven track record establishing strong working relationships with high-level company leaders and external advisors. Research experience, attention to detail, and a pro-active problem solving approach are critical.

Responsibilities

Business Development Support
      • Support business development team by providing reference and support materials, tracking leads, and coordinating pitch creation efforts
      • Create “library” of boilerplate for company-specific contract clauses, e.g. photogrammetry, employee portfolios
      • Support business development team with contract development through research and tracking of progress and open issues – including ensuring language aligns as needed for CA participation in local, State, and federal incentive and tax credit programs
      • Maintain physical and digital copies of final contract records and create, disseminate, and maintain “fact sheets” that provide quick reference to key agreement terms
      • Manage NDAs to ensure that all partners and visitors are covered by appropriate confidentiality agreements
      • Maintain contract records for shared tracking, e.g. “Partner Contract Checklist,” “Do Not Solicit,” “MNDA Biz Dev,” “Project Shutdown,” “Trademarks”
Contract Compliance and Reference
      • Review contracts, extract critical “need to know” information, and drive communication to relevant teams
      • Partner with production leads on projects to manage project kick-offs and shutdowns
      • Track ongoing milestone, payment, and trailing obligation actions, coordinating with Accounting and Product Development and others as needed
      • Establish and maintain processes to regularly check on contract compliance across all departments
      • Maintain a Do-Not-Solicit list, disseminate updates when appropriate, and monitor its application to ensure compliance
      • Serve as internal point of contact for contract reference and interpretation, engaging company leaders and consulting CA’s full suite of external counsel as needed for clarification
      • Coordinate creation, execution and tracking of CA Consulting Contracts process (independent contractors) – help product development with language for scope and billing schedules
Corporate Recordkeeping
      • Work with attorney to draft meeting minutes and records for annual company meetings, special meetings, and resolutions
      • Keep, manage and maintain physical and digital copies of all corporate documents, including company minutes book
      • Partner with business team leaders to keep, manage and maintain physical and digital copies of all other company agreements
      • Work with Director of Technical Operations to ensure that company agreements and corporate records are secure and properly backed up
Company Process
      • Own process for employee “side-project” requests
      • Reference and response coordination for employee inquiries (“How do I…Can I…?) for social media policy, public portfolios, etc.

Requirements

    • 3-5 years of related experience, legal, contracts, and/or business development
    • Well-organized, able to manage numerous projects and conflicting demands in a fast-paced environment
    • Motivated self-starter with strong work ethic and a positive attitude
    • Proven ability to work with all levels of management and staff and work cooperatively as a team player
    • Patient and focused – able to thoroughly review, understand, and summarize complex legal documents
    • Strong interpersonal, written, and oral communication skills and exceptional attention to detail
    • Strong customer service orientation
    • Exceptional time-management skills and detail orientation, plus the ability to work independently and as a part of a team
    • Self-directed and self-sufficient, able to understand assignments and instructions based on high-level, sometimes vague requests, guidelines or parameters
    • Proficient in Microsoft Word, Excel, and PowerPoint

Extra Credit

    • Bachelor’s degree in business, technology, or a related field
    • Paralegal experience
    • Software development, game development, or other entertainment industry-related experience
    • Experience in a wide array of fields including, but not limited to, business, legal, game development
    • Proficient with Google services, including Gmail and Google Docs
    • Proficient with various online tracking tools
    • Ability to gather, organize, and synthesize data and knack for creating visualizations of this data using charts, infographics, and other methods
